Investing involves risk, including possible loss of principal. There is no guarantee the Fund will achieve its investment objective. There is no guarantee that the issuers of securities held by the Fund will declare dividends in the future or that, if declared, dividends will remain at current levels or increase. The Fund’s emphasis on dividend-paying securities involves the risk that such securities may underperform the broader market. Principal risks include equity securities risk, dividend-paying securities risk, large-capitalization risk, small- and mid-capitalization company risk, foreign securities risk, depositary receipts risk, preferred securities risk, management risk, market risk, current market conditions risk, premium/discount risk, market maker risk, authorized participant concentration risk, trading issues risk, early close/trading halt risk, operational risk, cybersecurity risk, and new/smaller fund risk. See the prospectus for a full description of each.

A new or smaller fund is subject to the risk that its performance may not represent how the fund is expected to perform over the long term. New funds have limited operating histories for investors to evaluate and may not attract sufficient assets to achieve investment and trading efficiencies.

Shares are bought and sold at market price, not net asset value, and are not individually redeemed from the Fund. Brokerage commissions will reduce returns. Shares may trade at a premium or discount to net asset value.

Diversification does not ensure a profit or guarantee against a loss.

Beta is a measure of an ETF’s volatility or systematic risk of a security or portfolio compared to the market.

NAV. The dollar value of a single share, based on the value of the underlying assets of the fund minus its liabilities, divided by the number of shares outstanding. Calculated at the end of each business day.

Market Price. The current price at which shares are bought and sold. The market price returns are based on the official closing price of an ETF share or, if the official closing price isn’t available, the midpoint between the national best bid and national best offer (“NBBO”) as of the time the ETF calculates current NAV per share, and do not represent the returns you would receive if you traded shares at other times.

Median 30-Day Bid/Ask Spread. The spread is calculated from (I) sampling the ETF’s NBBO as of the end of each 10 second interval during each trading day of the last 30 calendar days; (ii) dividing the difference between each such bid and offer by the midpoint of the NBBO; and (iii) identifying the median of those values.

30-Day SEC Yield. Yield calculation that reflects the dividends and interest earned during the period after the deduction of the fund’s expenses. It is also referred to as the “standardized yield”.

Current Yield. The investment’s annual income divided by its current market price, shown as a percentage.

Market Capitalization (market cap). The total dollar value of a company’s publicly traded shares, calculated by multiplying the current share price by the total number of outstanding shares.
